Terms of Service

These Terms of Service (“Terms”) govern your use of ScorpInvoice, provided by Scorpia Tech Ltd (“we”, “us”). By creating an account or using the app or website, you agree to these Terms. If you don’t agree, please don’t use ScorpInvoice.
1. The service
ScorpInvoice is a tool that helps you create, send, and track invoices and quotes, and optionally accept payment from your clients via card or UK Open Banking. You’re responsible for the accuracy of the invoices, quotes, and business information you create using the service, and for meeting your own tax and legal obligations as a business.
2. “As-is” provision
ScorpInvoice is provided on an “as-is” and “as-available” basis. We work to keep the service reliable and accurate, but we don’t guarantee that it will be uninterrupted, error-free, or free of bugs. We don’t provide any warranty, express or implied, as to the service’s fitness for a particular purpose beyond what’s required by law.
3. Third-party services
Payments made through ScorpInvoice are processed by Stripe (card payments and UK Open Banking Pay by Bank) and, if you’ve connected it, GoCardless (UK Open Banking Pay by Bank). Delays, interruptions, or errors originating from these providers, from your or your client’s bank, or from any other third-party service we rely on (including Supabase, Resend, RevenueCat, Apple, and Google), are the responsibility of that provider, not Scorpia Tech Ltd. We aren’t liable for losses arising from the unavailability, error, or misconduct of a third-party service outside our direct control.
4. Limitation of liability
To the fullest extent permitted by law, Scorpia Tech Ltd will not be liable for any indirect, incidental, or consequential loss arising from your use of ScorpInvoice — including, without limitation, lost revenue from an invoice you were unable to issue, lost profits, or loss of data — whether caused by system downtime, a calculation error, a bug, or any other fault in the service.
Where we are found liable for any claim relating to the service, our total aggregate liability to you is limited to the greater of: (a) the total subscription fees you paid us in the 12 months immediately before the event giving rise to the claim, or (b) £100.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under English law, including liability for death or personal injury caused by negligence, or for fraud.
5. Your account
You’re responsible for keeping your login credentials secure and for all activity under your account. Tell us promptly if you suspect unauthorised access.
6. Subscriptions
The free plan is limited to 3 invoices and 3 quotes per calendar month. Pro subscriptions are billed in advance, auto-renew unless cancelled, and are managed through the App Store or Google Play if purchased via the mobile app. You can cancel at any time through your App Store or Google Play account settings; cancelling stops future renewals but doesn’t refund the current billing period unless required by law.
7. Termination
You may stop using ScorpInvoice and delete your account at any time. We may suspend or terminate your account if you materially breach these Terms, misuse the service, or use it for an unlawful purpose.
8. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we’ll take reasonable steps to notify you. Continuing to use ScorpInvoice after changes take effect means you accept the updated Terms.
9. Governing law
These Terms are governed by the laws of England and Wales, and any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.
